Scope of This Billing Policy
This Billing Policy applies to paid capture 5 plans,
checkout purchases, invoices, recurring payment
arrangements, payment authorizations, payment methods on
file, failed payments, chargebacks, collection activity,
cancellation requests, refunds, credits, and billing
communications.
This Billing Policy works together with the capture 5
Terms of Use, Campaign Agreement, Privacy Policy, Email
Terms, Opt-Out Policy, Data Processing Addendum,
Disclaimer, Review Platform Disclaimer, checkout terms,
invoices, order forms, and other applicable accepted
service documents.
The accepted order documents control the client’s
specific plan, price, billing date, initial term,
locations, included services, add-ons, and renewal
structure.
Section 02
Business-to-Business Use
capture 5 is a business-to-business service. By
purchasing, paying for, approving, or using a capture 5
plan, the purchaser represents that the service is being
obtained for business, commercial, professional, or
organizational purposes and not for personal, family, or
household use.

The purchaser is authorized to bind the client
business.

The person submitting a payment method is authorized to
use that payment method.

The client is responsible for charges approved through
checkout, invoice, payment authorization, order form,
written approval, or service use.

Internal disputes among owners, managers, employees,
partners, contractors, or payment-card holders do not
automatically waive valid amounts owed to capture 5.

The client is responsible for keeping its account,
billing contact, payment method, and authorization
information current.
Section 03
Pricing, Plans, and Fees
capture 5 pricing may be displayed on pricing pages,
checkout pages, invoices, order forms, proposals, or
other accepted written service documents.
Pricing may vary by plan, customer volume, locations,
included services, platform coverage, account needs,
add-ons, custom work, business requirements, country,
tax treatment, or accepted written terms.

Plan charges are due according to the checkout page,
invoice, order form, or recurring billing schedule.

Standard capture 5 plans do not include setup fees.
-
Custom, enterprise, multi-location, integration,
migration, technical, legal, procurement, or specially
requested work may have an additional fee when
disclosed and accepted in writing.

Promotional pricing, discounts, credits, exceptions,
and custom terms must be approved by capture 5 in
writing.

Public pricing may change for future purchases, plan
changes, new clients, or future renewal periods.
-
Website summaries do not override accepted checkout
terms, invoices, order forms, or signed written
agreements.
The selected plan controls the recurring billing amount.
The accepted initial-term provisions control the minimum
service commitment.
Section 04
90-Day Initial Service Term
Unless an accepted order document states otherwise,
standard paid capture 5 plans begin with a minimum 90-day
initial service term.
The initial term begins on the service-start date stated
in the accepted order document. When no separate
service-start date is stated, the term begins on the date
the paid plan is purchased or approved.

Monthly charges remain due throughout the initial term.
-
Stopping use of the service does not automatically end
the initial term.
-
Failure to complete onboarding does not automatically
end the initial term.
-
Failure to provide usable customer information does not
automatically end the initial term.
-
Failure to approve links, business information, video,
configuration, or account materials does not
automatically end the initial term.
-
Changing vendors, management, ownership, employees, or
payment methods does not automatically end the initial
term.
-
Suspension caused by breach, nonpayment, prohibited
information, or unacceptable risk does not
automatically waive amounts already due.
A cancellation request submitted during the initial term
may stop renewal after the initial term, but it does not
automatically remove charges that remain due for the
accepted initial commitment.
Section 05
Recurring Payment Authorization
By submitting a payment method, approving checkout,
paying an invoice, approving a plan, signing an order,
or authorizing service, the client authorizes capture 5
and its payment processors to charge the payment method
for amounts properly due under the accepted service
documents.
Authorized charges may include:
- Recurring monthly plan charges.

Approved add-ons or separately accepted custom work.
-
Applicable sales taxes, VAT, GST, duties, or government
charges.
- Failed-payment balances.
-
Valid chargeback or payment-reversal balances.
-
Amounts properly due during the accepted initial term.
-
Charges due during an active month-to-month renewal
period.
-
Processor, collection, legal, or enforcement costs when
expressly permitted by applicable law and the accepted
agreement.
Recurring charges may be processed without a separate
signature for each scheduled charge. capture 5 may retry
failed charges and may use updated payment credentials
made available through an authorized payment provider or
card-network account-updater service where permitted.
Checkout billing authorization
I authorize capture 5 and its payment processors to
charge my approved payment method for my selected plan,
recurring monthly charges, the accepted 90-day initial
term, applicable taxes, approved add-ons, failed-payment
balances, valid payment-reversal balances, and other
amounts properly due under the Billing Policy, Campaign
Agreement, Terms of Use, checkout terms, and accepted
order documents.
Section 06
Month-to-Month Renewal
After the standard 90-day initial term, paid plans
continue month-to-month unless an accepted order document
states otherwise or the service is properly cancelled.

Renewal charges may continue automatically until a
valid cancellation becomes effective.

Cancellation requests do not erase amounts already due.

Cancellation requests submitted during the initial term
may apply to renewal after the initial term.

Future renewal pricing or service terms may change after
reasonable notice where required by applicable law or
the accepted agreement.

capture 5 may decline renewal, discontinue a plan,
require updated payment information, or require
prepayment for future service.
The initial term is the minimum standard commitment.
Month-to-month renewal begins after that term unless the
account is properly cancelled.
Section 07
Refunds, Credits, and Setoff
Except where required by applicable law or expressly
stated in an accepted written agreement, fees billed and
paid for capture 5 services are non-refundable.
- No automatic refund for unused service time.
- No automatic refund for onboarding delays.

No automatic refund for missing, inaccurate, or
unusable customer information supplied by the client.
-
No automatic refund for client-side approval, staffing,
platform, management, or operational delays.
-
No automatic refund because a customer does not respond
or leave a review.
-
No automatic refund because an independent review
platform filters, hides, delays, rejects, removes, or
does not publish a review.
-
No automatic refund because ratings, customer
sentiment, review content, or platform outcomes differ
from expectations.
-
No automatic refund because the client changes vendors,
management, ownership, operations, or business
direction.
-
No automatic refund for suspension caused by nonpayment,
prohibited information, unlawful instructions, or
material breach.
Nothing in this section limits a mandatory right or remedy
that applicable law does not permit the parties to waive.
Section 08
Failed Payments and Past-Due Balances
A failed charge, expired payment method, blocked payment,
insufficient funds, closed account, revoked authorization,
stop-payment instruction, processor decline, bank
decline, payment reversal, or refusal to pay a valid
charge may create a payment default.
- capture 5 may retry the failed payment.

capture 5 may request an updated payment method.
-
capture 5 may require cleared payment or prepayment
before continuing service.

capture 5 may pause, suspend, restrict, or stop service.
-
capture 5 may withhold reports, account work, response
support, or other service activity while the account is
delinquent.

capture 5 may declare unpaid amounts remaining in the
accepted initial term due when permitted by law and the
applicable service documents.

capture 5 may pursue recovery of valid unpaid balances
and properly recoverable costs.
A payment failure does not automatically cancel the plan.
It may create an unpaid business balance and a right to
suspend service.
Section 09
Chargebacks and Payment Reversals
A chargeback, bank dispute, payment reversal, or
cardholder dispute involving a valid authorized charge
does not automatically cancel the service or determine
that the underlying business balance is invalid.

Clients should first contact capture 5 in writing and
provide a reasonable opportunity to review an alleged
billing error.

The client remains responsible for valid charges even
when a financial institution temporarily credits or
reverses the payment.

capture 5 may pause, suspend, or terminate service after
a chargeback or payment dispute.

capture 5 may pursue unpaid amounts remaining under the
accepted initial term or active renewal period.

capture 5 may recover properly documented chargeback,
processor, collection, court, arbitration, or legal
costs where permitted by law and contract.

capture 5 may provide accepted agreements, checkout
records, invoices, payment authorizations, service
records, and communications to payment processors,
financial institutions, arbitrators, courts,
collection providers, or legal advisers.
A chargeback is not a service cancellation. A valid
business balance may remain due after a payment reversal.
Section 10
Collection Rights and Acceleration
When an amount properly due to capture 5 remains unpaid,
capture 5 may pursue remedies available under the Billing
Policy, Campaign Agreement, Terms of Use, checkout terms,
invoice terms, accepted order documents, and applicable
law.

Recovery of unpaid monthly plan charges.

Recovery of approved add-ons, custom work, taxes, or
other accepted service charges.
-
Recovery of valid failed-payment, chargeback, or
payment-reversal balances.
-
Acceleration of amounts remaining in the accepted
initial term when permitted by law and the applicable
agreement.

Recovery of reasonable collection, processor, court,
arbitration, or legal costs when permitted and properly
recoverable.
-
Referral of an unpaid business balance to a collection
provider or legal adviser.
-
Use of arbitration, court proceedings, or another
lawful recovery process.
capture 5 may continue to pursue a valid unpaid balance
after an account is suspended, terminated, cancelled,
closed, or inactive.
Section 11
Cancellation and Billing Effect
Cancellation requests must be submitted in writing to
[email protected]
or through another official cancellation method stated in
the client’s account or accepted order documents.
Verbal statements, social media messages, comments,
informal discussions, or unsupported messages sent
through unrelated third parties do not cancel service
unless capture 5 confirms the cancellation in writing.

A request submitted during the 90-day initial term does
not automatically remove charges due during that term.

A request submitted during the initial term may be
treated as a request not to renew after the initial
term.

After the initial term, cancellation becomes effective
at the end of the then-current paid billing period
unless applicable law or an accepted agreement requires
another date.

Cancellation stops eligible future renewal charges
after the effective cancellation date.
-
Cancellation does not waive unpaid balances, valid
payment-reversal balances, taxes, or other amounts
already due.
Cancellation stops eligible future renewal billing after
it becomes effective. It does not erase amounts already
due under the accepted service documents.
Section 12
Email Opt-Out Is Not Billing Cancellation
Unsubscribing from email, changing communication
preferences, requesting customer suppression, submitting
a privacy request, or asking not to receive promotional
messages does not cancel a capture 5 paid plan, payment
authorization, invoice, recurring charge, initial term,
or unpaid balance.
- Email opt-out does not cancel billing.
- Privacy request does not cancel billing.
- Data deletion request does not cancel billing.
- Customer unsubscribe does not cancel billing.

Blocking capture 5 email does not cancel billing.
-
Stopping communication with capture 5 does not cancel
billing.
A client seeking to end paid service must follow the
official cancellation process.
Section 13
Suspension or Termination for Payment Risk
capture 5 may pause, suspend, restrict, or terminate
service when payment, fraud, chargeback, collection,
account, compliance, security, provider, platform, or
business risk makes continued service unreasonable.
- Failed or repeatedly declined payments.
- Blocked, expired, or invalid payment methods.
- Chargeback or payment-dispute activity.
- Refusal to pay valid amounts owed.
- Suspicious or unauthorized payment activity.

Failure to update required payment information.

Material breach of the Billing Policy, Campaign
Agreement, Terms of Use, or accepted checkout terms.
Suspension or termination does not automatically waive
payment obligations that arose before the effective
suspension or termination date.
Section 14
Client Delays Do Not Automatically Pause Billing
capture 5 may begin account preparation, onboarding,
configuration, business voice preparation, Human Trust
Video placement, review-link configuration, billing
setup, and operational work after purchase or approval.

Failure to provide customer information does not
automatically pause billing.

Failure to provide approved review links does not
automatically pause billing.

Failure to provide Human Trust Video direction does not
automatically pause billing.

Failure to approve business information, assets,
messaging, or account configuration does not
automatically pause billing.

Staff, management, platform, or internal approval delays
do not automatically pause billing.
-
Failure to respond to reasonable onboarding requests
does not automatically pause billing.
-
Client-side data-quality issues do not automatically
pause billing.
The client is responsible for cooperating with onboarding.
A client delay does not automatically create a refund,
credit, term extension, or billing pause.
Section 15
Taxes, Fees, and Currency
Unless an accepted order document states otherwise,
capture 5 prices are listed and charged in United States
dollars.
The client is responsible for taxes, duties, assessments,
and financial-institution charges associated with the
purchase or use of capture 5 services.

Sales tax, use tax, VAT, GST, digital-service tax,
withholding tax, or similar taxes where applicable.

Bank fees, payment-provider fees, currency-conversion
fees, cross-border charges, or wire fees.
-
Government duties, assessments, or regulatory charges
imposed by the client’s jurisdiction.
-
Tax documentation, exemption certificates, VAT
identification, GST information, or withholding
documentation reasonably requested by capture 5.
When a legally required withholding or deduction applies,
the parties will follow applicable law and any accepted
written tax terms.
Section 16
International Billing
capture 5 operates from the United States, including New
Jersey.
Serving businesses across the United States, United
Kingdom, Canada, Australia, New Zealand, Ireland, and
English speaking countries may involve international
payment processing, foreign exchange, local tax rules,
and cross-border financial-institution charges.

International clients are responsible for using a
payment method capable of processing the stated
currency.

International clients are responsible for exchange-rate
differences and independent financial-institution
charges.

International clients are responsible for applicable
VAT, GST, withholding, and local payment obligations.

International clients are responsible for confirming
that recurring business billing and payment
authorization are lawful for their organization and
payment method.

Country coverage does not mean capture 5 maintains a
legal entity, office, tax registration, government
approval, or payment-processing presence in every
market.
capture 5 is a United States-based provider. International
clients should expect United States-based billing unless
accepted order documents state otherwise.
Section 17
Billing Communications
capture 5 may send billing-related communications to
owners, managers, authorized users, payment contacts,
billing contacts, account contacts, or other business
representatives associated with the client account.
Billing communications may include:
- Invoices and receipts.
- Payment reminders.
- Failed-payment notices.
- Recurring payment notices where used.
- Chargeback or dispute notices.
- Collection notices.
- Cancellation confirmations.
- Account suspension notices.
- Legal, security, service, and account notices.
Opting out of promotional email does not stop necessary
billing, payment, collection, legal, security, account,
or service communications.
Section 18
Billing Errors and Dispute Review
A client that believes a billing error occurred should
contact capture 5 promptly in writing and provide enough
information to investigate the issue.
Relevant information may include:
- Client business name.
- Billing contact name.
- Invoice number or transaction date.
- Amount disputed.
- Reason for the dispute.
- Supporting documentation.
Reporting a billing issue does not automatically suspend
the initial term, recurring payment authorization, or the
obligation to pay undisputed amounts.
Clients should not use a chargeback as a substitute for
the billing-review process when a charge was authorized
and properly due.
Section 19
No Results-Based Billing
capture 5 fees pay for the managed reputation service and
are not contingent on customer responses, review volume,
review ratings, customer sentiment, platform publication,
search visibility, traffic, leads, appointments, sales,
bookings, revenue, or another business outcome.

Fees remain due whether or not customers respond.
-
Fees remain due whether or not customers leave reviews.
-
Fees are not adjusted based on review ratings or review
content.

Fees are not adjusted because a platform publishes,
filters, hides, removes, delays, or declines a review.

Fees are not adjusted based on search ranking, traffic,
leads, appointments, sales, bookings, or revenue.
capture 5 provides a managed service. Customer behavior
and independent platform outcomes are not guaranteed.

If this Billing Policy conflicts with a more specific
mutually accepted written agreement, the more specific
agreement controls for the applicable client relationship
and billing issue.
Billing terms in accepted order documents control over
general website descriptions and marketing summaries.
Section 21
Changes to This Billing Policy
capture 5 may update this Billing Policy to reflect
changes in pricing, payment providers, billing practices,
service structure, legal requirements, tax rules,
international operations, or business operations.
Updated terms will be posted with a revised effective
date. Material changes apply prospectively unless
applicable law or an accepted agreement permits different
treatment.
An update does not retroactively increase an active
client’s agreed price or extend an active initial term
unless the client accepts the change or the applicable
order documents permit it.
